Terms of Service

These Terms of Service (the Terms) apply, together with our Privacy Policy (the Privacy Policy), to our website and our web-based application Aria (collectively, the Services). Aria is developed and operated by Salut AI B.V., having its registered address at Plompetorengracht 4, 3512CC Utrecht.
Please read these Terms carefully to ensure that you are aware of your rights and obligations when using the Services. You can download and print these Terms.

Registrations and Accounts
Age Restriction
The Services are intended solely for persons who are 16 years of age or older, or such higher age as required in your country to enter into a binding agreement. If you are under the legal age to enter into an agreement, approval of your parent or legal guardian is required.
Registration
You may be required to register in order to create an account and access certain features of the Services. By registering, you agree to:
1. Provide true, accurate, current, and sufficiently complete information about yourself; and
2. Maintain and update this information so as to enable Aria to provide you with the Services, which may include providing current payment information for payment processing by Aria or its third-party payment processor.
Confidentiality of Account Information
You are responsible for maintaining the confidentiality of the password associated with your account and any other confidential account information. While We use reasonable security measures to protect against unauthorised access to your account, We cannot guarantee absolute security of your account, your personal information, or your Content (as defined below).
Registration and/or Access Through Third-Party Services
You may register for or log in to your account via a third-party service, such as Google. If you choose to do so, you authorise Aria to pre-populate registration and other relevant information fields and to use your third-party credentials to log you into your account. If you connect your account to a third-party service, you agree to comply with the terms, conditions, and policies applicable to that third party.

Subscriptions
Subscription Fees
In order to access certain functionality of the Services, you may be required to pay subscription fees. Subscription fees, along with any applicable taxes, may be paid on a recurring basis. All subscription fees are payable in advance. Aria reserves the right to increase subscription fees, adjust applicable taxes, or introduce new fees at any time upon reasonable notice.
Payments
To enable payment of applicable subscription fees, you must provide us with information about your preferred payment method. By providing such payment information, you authorise Aria and any relevant third-party service providers (including payment processors) to receive, store, and encrypt your payment information. No refunds (in any form) will be provided by Aria, except as expressly set out in these Terms.
Free Trial
At its sole discretion, Aria may offer you a free trial period. Where a free trial is available, this will be clearly indicated before you activate your subscription.
Auto-Renewal
Subscription fees will be billed automatically at the start of each subscription period. Subscriptions will auto-renew until downgraded or cancelled. You may cancel your subscription at any time as described below.
Cancellation
You may cancel your subscription at any time through your account settings on our website. When your subscription ends, your account will revert to a free tier (if available) or become inactive. You may renew your subscription at any time at the then-applicable subscription fee.
Account Deletion
Regardless of whether you hold an active subscription, you may delete your account at any time through your account settings.

Content
Content Ownership
You retain ownership of any information, data, text, files, or other materials you submit, upload, or otherwise make available through the Services (the Content).
Licence
By submitting Content through the Services, you grant Aria a non-exclusive, transferable, sub-licensable, royalty-free, worldwide licence to use, reproduce, modify, adapt, and display your Content solely to the extent necessary to provide, maintain, and improve the Services. This licence does not grant Aria the right to sell your Content or use it for purposes unrelated to the provision of the Services.
Responsibility for Content
You agree that Aria is not responsible for Content submitted by users. If your Content violates these Terms or any applicable laws, you are solely legally responsible for that Content. Aria will not be liable for any use or disclosure of Content that you have made available through the Services.
Confidentiality of Content
If you designate Content as private or restricted to specific users, Aria will take reasonable steps to maintain the confidentiality of such Content in accordance with our Privacy Policy. If you do not restrict your Content, or later change its visibility settings to make it more broadly accessible, you are responsible for the consequences of that Content being accessible to others.

AI-Generated Outputs
Aria uses artificial intelligence to generate responses, suggestions, and other outputs based on your inputs (the Outputs). You acknowledge that:
• Outputs may not always be accurate, complete, or suitable for your specific purposes. You are solely responsible for reviewing and verifying any Outputs before relying on them.
• Aria does not warrant that Outputs are free from errors, bias, or inaccuracies.
• Outputs do not constitute professional advice of any kind, including but not limited to legal, medical, financial, or psychological advice.
• You are responsible for how you use or act upon any Outputs generated by the Services.

Intellectual Property Rights
Aria’s Proprietary Rights
The Services, including any software, algorithms, models, aggregated usage data, interfaces, and any Content made available through the Services, contain proprietary information protected by applicable intellectual property and other laws. Except as expressly permitted by Aria, you agree not to copy, modify, distribute, reverse-engineer, or create derivative works based on the Services or any Content available through the Services (other than Content that you own).
Third-Party Intellectual Property Infringement (Notice and Takedown)
If you believe in good faith that materials hosted by Aria infringe your copyright or trademark rights, you may send us a written notice requesting removal of or restricted access to the relevant material. Such a notice must include at minimum:
1. Identification of the copyrighted work or trademark claimed to have been infringed;
2. Identification of the Content claimed to be infringing, along with information reasonably sufficient for Aria to locate it within the Services; and
3. Your name, address, telephone number, and email address.
If Aria determines that infringing materials are present on or through its Services, it will notify you of the action it intends to take.

Acceptable Use
You agree not to use the Services to:
• Violate any applicable laws or regulations;
• Submit Content that is unlawful, harmful, threatening, abusive, defamatory, or otherwise objectionable;
• Attempt to gain unauthorised access to any part of the Services or any other user’s account;
• Interfere with or disrupt the integrity or performance of the Services;
• Use the Services to train, develop, or improve any competing AI model or product without Aria’s prior written consent;
• Engage in any automated or systematic data scraping, harvesting, or extraction from the Services without Aria’s prior written consent.

Third-Party Services
The Services may integrate with or link to third-party services, tools, or platforms. Such third-party services are made available directly by the applicable third party. When you access or use any such third-party service, you acknowledge that you are subject to the terms and conditions of that third party, and that Aria shall not be liable for any loss or damages of any kind arising from your use of or interaction with third-party services.

Limitation of Liability
No Liability
The Services and any Content made available through the Services are provided to you “as is” and “as available”, without warranties of any kind, either express or implied. Aria, including any of its subsidiaries, affiliates, partners, employees, or officers, does not accept any liability in relation to the Services or any Content made available through them.
Limited Liability
In the event that Aria is nonetheless found liable, such liability shall be limited to direct damages suffered by you as a direct result of a shortcoming or wrongful act attributable to Aria. Direct damages include only material damage to property, reasonable costs incurred to prevent or limit direct damage, and reasonable costs incurred to determine the cause of the damage. Aria shall in no event be liable for any special, incidental, indirect, or consequential damages, including but not limited to loss or corruption of data, loss of profits, or lost business opportunities.
Limitation Period
Any claim arising out of or relating to the Services must be brought within one (1) year from the earlier of: (i) the date on which the Services were provided giving rise to the alleged liability, or (ii) the date on which the liability could reasonably have been known to you.

Indemnification
You agree to indemnify and hold harmless Aria, including any subsidiaries, affiliates, officers, employees, licensors, and partners, from and against any claim, demand, loss, liability, or expense (including reasonable legal fees) arising out of or relating to: your Content; your use of the Services; your violation of these Terms; your violation of any applicable data protection laws; or your violation of any rights of a third party.

Termination
Aria may, under certain circumstances and without prior notice, immediately suspend or terminate your account and/or access to the Services. These circumstances may include:
1. Breach of these Terms or any related policies;
2. A request by you (for example, in connection with account deletion);
3. Discontinuation or material modification of the Services;
4. Unexpected technical or security issues;
5. Extended periods of inactivity;
6. Violation of any intellectual property rights; and/or
7. Non-payment of any fees owed in connection with the Services.
Any such suspension or termination shall be at Aria’s sole discretion. You agree that Aria shall not be liable to you or any third party for any suspension or termination of your account or access to the Services. Termination shall not affect the provisions of these Terms relating to Limitation of Liability, Indemnification, Intellectual Property Rights, or Dispute Resolution.

General
Entire Agreement
These Terms and the Privacy Policy constitute the entire agreement between you and Aria with respect to your use of the Services and supersede all prior agreements, representations, and understandings.
Unenforceability
If any provision of these Terms is found by a court or other competent body to be invalid or unenforceable, the remaining provisions shall continue in full force and effect. The invalid or unenforceable provision shall be modified to the minimum extent necessary to make it enforceable.
Assignment
You may not assign or transfer your account or your rights and obligations under these Terms without Aria’s prior written consent. Aria reserves the right to transfer or assign all or any part of its rights and obligations under these Terms at its sole discretion. Aria may also delegate or engage third-party contractors to fulfil its duties in connection with the Services.
Force Majeure
Aria shall not be liable for any failure or delay in performing its obligations under these Terms where such failure or delay results from circumstances beyond Aria’s reasonable control, including but not limited to: illness or unavailability of key personnel, power outages, fire, natural disasters, strikes, floods, failures by third-party service providers, hardware disruptions, telecommunications failures, or other unforeseen events.
Modifications to the Terms and Services
Changes to the Terms Aria reserves the right to update these Terms at any time. We will notify you of any material changes via email or through a prominent notice within the Services. If you continue to use the Services after being notified of such changes, you agree to be bound by the updated Terms.
Changes to the Services Aria and its third-party service providers may, at any time and at their sole discretion, make improvements or changes to the Services, including features, functionality, and pricing. Aria reserves the right to modify, suspend, or discontinue the Services, in whole or in part, with or without notice. Aria shall not be liable to you or any third party for any such modification, suspension, or discontinuation.

Dispute Resolution
Applicable Law
These Terms, the Privacy Policy, your relationship with Aria, and any action relating thereto shall be governed by the laws of Dutch Law. If you are a consumer based in the European Union, the mandatory consumer protection laws of your EU Member State may also apply.
Competent Court
Any disputes arising out of or relating to these Terms, the Privacy Policy, the Services, or your relationship with Aria shall be subject to the exclusive jurisdiction of the courts of The Netherlands.
